1. Agreement to Terms

By accessing nextupcapitalgroup.com or purchasing any services from NextUp Capital LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

NextUp Capital LLC provides business formation, branding, web presence, and funding positioning services. Our services include but are not limited to LLC registration assistance, EIN setup, logo design, website development, Google Business Profile setup, and business credit consulting.

All services are delivered as described on our website at the time of purchase. We reserve the right to modify service offerings with notice.

3. Payments & Fees

• All prices are listed in USD and are due at the time of purchase
• Payments are processed securely through Stripe
• State filing fees for LLC registration are not included in our service fees and are passed directly to you at cost
• Third-party subscription costs (business phone, virtual address, etc.) are your responsibility

4. Refund Policy

Due to the nature of our done-for-you services, all sales are final once work has commenced. If work has not yet started, you may request a refund within 48 hours of purchase by contacting us at support@nextupcapitalgroup.com.

We are committed to delivering the services as described. If you have concerns about your service delivery, please contact us and we will work to resolve them.

5. Client Responsibilities

To deliver our services effectively, you agree to:

• Provide accurate and complete information as requested
• Respond to communications in a timely manner
• Pay any required third-party fees (state filing fees, domain registration, etc.)
• Complete your onboarding call within 14 days of purchase

6. Results Disclaimer

We do not guarantee specific funding amounts, credit score improvements, or business outcomes. Results vary based on individual circumstances, creditworthiness, business structure, and other factors outside our control. Our services are designed to position your business for funding opportunities but cannot guarantee approval.

7. Intellectual Property

Upon full payment, you own all deliverables created specifically for you (logo, website content, etc.). We retain the right to display your work in our portfolio unless you request otherwise in writing.

8. Limitation of Liability

NextUp Capital LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount you paid for the specific service in question.

9. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved in the courts of Luzerne County, Pennsylvania.

11. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.
